Terms and Conditions:

Web Page/web site design

Suffolk Web Site designs singular and multiple web pages for interested clients under the following terms

and conditions:

1. Initial contact by whatever media may lead to an interest by the client to have one or more web

pages designed by Suffolk Web Site.

2. Upon sufficient and adequate input Suffolk Web Site will supply by prior agreement, either by email

or by post, an initial layout of the site showing the number of pages, the hypertext links and

the general headings only for the text and pictures. This document will include an approximate

cost only for the project as outlined in the initial layout.

3. The initial layout described in clause 2 above may be discussed and/or modified by the client.

4. If the client wishes to proceed further, the complete documentation with any graphics should be

supplied with the returned modified/signed off initial layout. A full quotation will be supplied to

the client based on the data received for the web page(s).

5. Upon receipt of a non-returnable deposit of 10% of the quoted price, work will commence to

complete the main design phase of the web page(s)/site.

6. When the main design (clause 5) is complete a full final printout will be supplied to the client.

7. The final printout may lead to further discussion or modifications. If these are reasonable the client

will incur no extra costs. However if fundamental changes of agreed text, format, and style by the

client are required additional costs will be incurred.

8. The final printout, (with modifications) and signed off will be returned to Suffolk Web Site. with a

further payment of 15% of the quoted price.

9. Any modifications (clause 8) will be incorporated.

10. The site will be uploaded to an agreed server and may be made accessible to the client for 4 to 5

days through a non-standard Internet address (URL) to prevent public viewing. The client has the

opportunity to view the site as it will be published and again may request modifications as per

clause 7.

NOTE: Although printing off of the web pages as shown in an Internet browser is permissible,

printing of the source code at this stage by the client or third parties on behalf of the client is

strictly not permitted and will be treated as breach of contract. Like-wise informing third parties of

any temporary non-standard URL during this stage is not permitted. Until final payment is received

the web page(s)/site is strictly the intellectual and sole property of Suffolk Web Site.

11. After the agreed period outlined in clause 10 the web page(s)/site will no longer be available.

12. The client by this stage will have made a decision to

a. Pay the outstanding design costs and receive the web page(s) design on a CD to place on

their own designated Web Server.

OR

b. Pay the outstanding costs and the leasing costs quoted by Suffolk Web Site for the web

page(s)/site to be hosted by Suffolk Web Site. Upon receipt of the outstanding monies the

site will be available immediately using the appropriate domain name.

13. Once the full monies are paid the contents as normally displayed on a web browser become the

intellectual property of the client but the design (i.e. the source coding and its layout) remain the

intellectual property of Suffolk Web Site.

Leasing World Wide Web servers through Suffolk Web Site.

1. An agreement may be made by a client for Suffolk Web Site to be responsible for hosting the

Client’s web site.

2. The cost and payment methods will be agreed before implementation.

3. Upon receipt of the initial payment. The site will be made live.

4. The client or Suffolk Web Site may give 30 days notice for cancellation of the agreement (see also

Clause 6). Any outstanding monies beyond this time frame will be refunded in full but excludes

any part month and promotional “free time” that may have been entered into for leasing

agreements of greater than one month.

5. Suffolk Web Site reserves the right to move the site from one server to another. This will only take

place if there are definite advantages for the client, i.e. faster download time, additional functions-

(e.g. video) etc. Suffolk Web Site’s policy is to improve value for money for clients (with minimal

or zero disruption).

6. If the client requires direct access to modify the site themselves via user name and passwords to

the site and subsequently places any pornographic or malicious contents on the site, Suffolk Web Site

reserves the right to close down the site within 12 hours and without refunds.

Web Page/Site Modifications

Web Pages/Sites hosted by Suffolk Web Site from time to time may require modifications of text etc at the

discretion of the client. An agreement may be made for Suffolk Web Site to undertake the changes. Suffolk

Web Site offers two vehicles for such modifications:

a. Individual quotations for each set of changes, agreed prior to implementation of the work.

b. Via a Site Management Agreement as described below enabling a faster and more cost

effective response.

Site Management Agreements

1. An agreement may be made with a client for Suffolk Web Site to actively manage a Client’s web

page(s)/site.

2. The Site Management Agreement may cover one or more of the following:

a. Regular checks on major search engine positions for key words

b. Modification of pages to improve/maintain search engine position*

c. Regular reports on the site’s activity by users

d. Pre-agreed modification of pages e.g. newsletter updates, staff, prices, photographs etc.

Usually via email response times are typically 98% within 24 hours of receipt of data.

* We cannot guarantee absolute success in this area but to date we have been successful with a significant

proportion of our web sites and have data to confirm this. We do use proprietary software as a resource.

3. In order to encourage pre-payment for Site Management Agreements, the hourly rates charged are

typically 2/3rds of normal one-off charges.

Payments

Unless specifically stated above , all payments are strictly 21 days from receipt of invoice, which will in

most cases be sent by email in Adobe Acrobat .pdf format. A link to download a free

Adobe Acrobat Reader can be found at: http://www.adobe.com/products/acrobat/readstep2.html . If the

client requires invoices by Royal Mail this must be specifically requested by the Client. Suffolk Web Site

reserves the right to close down email accounts and web sites for late payment and a minimum charge of

outstanding dues and GB£75.00 will be required before any re-connection.
